General Rules

By subscribing to the services provided by EIONIX, or using any of its services (as defined below) or purchasing them, you agree to be bound by the following terms and conditions.

The services offered by the webpage to which these terms and conditions refer are provided by EIONIX.

The provided services fall within the training sector, including, but not limited to, the following services:

1. Training on product or service research.
2. Training on SEO language.
3. Training on the functioning of Google.
4. Training on the functioning of Facebook and Instagram.
5. Training on the creation of the structure of an online store.
6. Training on SMS marketing.
7. Training on the functioning of TikTok.
8. Training on configuration, preparation, launch of campaigns, data analysis, and optimization of ads.
9. Training on email marketing.
10. Training on the functioning of Pinterest.

The type of purchased service varies based on the purchase price, and the customer, depending on the purchased service, may not only be trained but also assisted (mentoring) or launched (launch) by the EIONIX team in the creation of a store, product research, setting up and controlling marketing campaigns on social media, or may delegate completely and only manage everything once started by the EIONIX team. "Mentoring" means that the EIONIX team will supervise the customer's activities, correcting any errors and advising on better approaches for their business. "Launch" means that the EIONIX team will autonomously or collaboratively with the customer create a finished store, which the customer will then manage independently or with the assistance of the EIONIX team. "Training" means that the customer will be limited to receiving theoretical and practical advice on specific topics, which can be conducted in one or more hours depending on the purchased service.

It is specified that the provided services are divided into:

One-Shot Digital Services or Products:

• for example, the creation of an online store, which refers to e-commerce where the means of purchase is the website, and the economic transaction takes place entirely online (both single and multi-product involving the sale of physical or digital products);
• or the creation of graphic creatives and copy (writing aimed at enticing the customer to purchase) for any use;
• or simple training on the setup of advertising campaigns via social media conducted with a specified consultation of 1 hour or more.

One-shot services involve a one-time payment upon purchase. Therefore, the transaction goes no further than the delivery of the product or service upon payment by the customer.

Subscription-Based Digital Services or Products:

• for example, the management of advertising on social media, including but not limited to Facebook ads, Instagram ads, Google ads, YouTube ads, TikTok ads, and similar.

When purchasing a subscription service, monthly payment will be required via credit/debit card or bank transfer. The subscribed service will entail automatic renewal, with consequent automatic monthly withdrawal from the provided credit/debit card or bank account. Failure to make the monthly payment or unsuccessful automatic withdrawal, without the service being deactivated as provided therein, will result in the immediate interruption of services with the application of penalties as indicated below.

In the context of these Terms and Conditions of Service, "we," "our," refers to the contracting party EIONIX.

The services offered by EIONIX based on the Terms and Conditions of Service include various EIONIX entities referred to in these Terms and Conditions of Service as "Services," which generically encompass both one-shot and subscription services. Any new features or tools added to the current services will also be subject to the Terms and Conditions of Service. You can consult the current version of the Terms and Conditions of Service at any time on the specific link. EIONIX reserves the right to update and modify the Terms and Conditions of Service by publishing updates and changes on the website. We recommend checking periodically for the presence of updates or changes in the Terms and Conditions of Service that may affect you. If you do not accept such changes, you will need to cease using the services.

You are required to read and accept all the terms and conditions contained or expressly referred to in these Terms and Conditions of Service, including EIONIX's Privacy Policy, before registering to obtain or use any EIONIX service.

1. Conditions

In order to access and use the Services, you must make payment and provide the data and any other information, such as your first and last name and email address, indicated as mandatory. We at EIONIX may refuse your request for service activation or cancel your purchase for any reason at our sole discretion.

EIONIX for lawful purposes and not for the dissemination of pornographic material of any kind or other content that constitutes a criminal offence and which may offend public decency or violate public order in accordance with Italian criminal law and you release EIONIX from any liability in this regard.

You are responsible for keeping your data and information obtained from the Service confidential. EIONIX cannot be liable nor shall be held liable for any loss or damage resulting from your failure to keep your data secure.

You are responsible for all activities and content such as photos, images, videos, graphics, written content, audio files, code, information or data uploaded, collected, generated, stored, displayed, distributed, transmitted or displayed on or in connection with your business or entrepreneurial activity ("Materials").

The Service provided is an obligation of means and not of result, therefore EIONIX shall not be liable for any loss of profit as a result of the Services provided.

Violation of any of the Terms of Service, determined at the sole discretion of EIONIX, may result in immediate termination of the Services.

2. Service Activation

The person who subscribes to the service will be the contracting party for the purposes of our Terms of Service. The service can be activated for oneself or purchased for third parties. The responsibility regarding the latter possibility is solely the concern of the contractor, as EIONIX is in no way involved and is not obliged to carry out investigative activities regarding the correspondence between the contractor and the actual service user.

If you subscribe to the services on behalf of third parties, these third parties will be the service beneficiaries. If you subscribe to the services on behalf of third parties, you must use the email address they have provided (or your own) and in any case, declare and warrant that you have the authority to bind third parties to our Terms of Service.

The service can be associated with only one beneficiary. The contractor can purchase the service multiple times, but only one user can be associated with a subscription. It is possible to activate multiple subscriptions, but to activate the service, it is necessary to subscribe and purchase multiple subscriptions (at least one per user).

In the subscription service, once the registration for the service is complete (or after the crediting of funds to EIONIX's account), EIONIX will activate the service on your behalf, using your email address within 24 hours.

3. General Conditions

You must read and accept all the terms and conditions contained in these Terms and Conditions of Service, including the Privacy Policy, before being able to use the service. Acceptance is deemed given at the time of purchase.

The Terms and Conditions of Service will be governed and interpreted in accordance with Italian laws, without regard to principles of conflict of laws.

You acknowledge and agree that EIONIX may modify these Terms and Conditions of Service at any time by publishing the applicable Terms and Conditions of Service with additions and modifications on its website, and that such changes to the Terms and Conditions of Service will take effect on the date of publication. Your continued use of the Services after the publication of the modified Terms and Conditions of Service on its website constitutes full acceptance of the modified Terms and Conditions of Service. If you do not accept the changes to the Terms and Conditions of Service, do not continue to use the Service. It will be your responsibility, therefore, to terminate the subscription, with EIONIX having no liability in this regard.

You may not use EIONIX services for illegal or unauthorized purposes, nor can you, in using the service, violate any laws in your jurisdiction (including, but not limited to, copyright laws). You will comply with all applicable laws and regulations during the use of the service and the fulfillment of obligations under the Terms and Conditions of Service.

You agree not to reproduce, duplicate, copy, sell, resell, or exploit any part of the service, the use of the services, or access to the services. In the event of a violation of this condition, you will be personally responsible and liable for damages towards EIONIX.

You acknowledge and agree that the use of the services, including information transmitted or stored by EIONIX, is governed by its Privacy Policy.

All terms and provisions of the Terms and Conditions of Service will be binding and have effects for the parties of the Terms and Conditions of Service, their respective heirs, successors, authorized assignees, and legal representatives.

In the event that any provision (or part of a provision) of these Terms and Conditions of Service is deemed invalid, illegal, or unenforceable for any reason, such invalidity, illegality, or unenforceability will not affect any other provision (or the unaffected part of the provision) of the Terms and Conditions of Service, and the Terms and Conditions of Service will be interpreted as if that provision (or part of the provision) deemed invalid, illegal, or unenforceable had never existed.

4. Disputes

The parties irrevocably and unconditionally accept the exclusive jurisdiction of the courts and judicial authorities of the United Arab Emirates concerning any dispute or claim arising from or related to these Terms and Conditions of Service and the service itself.

Any form of written or verbal abuse (including threats of abuse or retaliation) by any customer towards any employee, member, or representative of EIONIX will result in the immediate termination of the service for the customer without a refund.

We reserve the right to provide our services to your competitors, and we do not promise exclusivity for a particular market segment. You also acknowledge and agree that employees and collaborators of EIONIX may also be customers of EIONIX and compete with you.

In the event of a dispute regarding the ownership of a subscription, we reserve the right to request documentation to determine or confirm ownership, with documentation requests including, but not limited to, a proof of identity.

5. Confidentiality

"Confidential Information" includes (but is not limited to) all information associated with the business of a party and not publicly known, such as specific business information, technical processes and formulas, software, customer lists and potential customers, names, addresses, and other data related to suppliers and potential products. EIONIX's Confidential Information includes all data obtained through us or the services that is not known to the general public, such as information related to our services, programs, and security procedures.

Each party agrees to use the other's Confidential Information solely when necessary to fulfill the obligations arising from these Terms of Service and in accordance with any other obligations provided therein, including as established in this section. Each party agrees to take all reasonable measures—at least substantially equivalent to the steps necessary to protect its own information—to prevent the duplication, disclosure, and use of such Confidential Information. To this end, it undertakes to make such Confidential Information accessible exclusively: (i) to its authorized employees, agents, and subcontractors who are authorized to access such Confidential Information to fulfill the obligations of the party set forth herein, binding them to treat such Confidential Information as provided in this document and subjecting them to a confidentiality obligation as strict as that set forth herein; (ii) in compliance with any law, regulation, or court order against the parties and for the subject matter of these Terms of Service, provided that, if permitted by law, the receiving party gives timely written notice of the disclosure of data to the interested party and makes every reasonable commercial effort to ensure that such disclosure occurs in a confidential manner. Confidential Information will not include any information that the receiving party can prove: (A) was already public domain, or already known or in possession of the receiving party at the time of the disclosure of such information; (B) was independently developed by the receiving party without the use or reference to the other party's Confidential Information and without violating any provisions of these Terms of Service; (C) was subsequently lawfully acquired by the receiving party from a source other than the disclosing party, without violating any provisions of these Terms of Service.

6. Limitation of Liability

You expressly acknowledge and agree that, to the extent permitted by applicable law, EIONIX will not be liable for damages—direct, indirect, incidental, special, consequential, or exemplary—arising from the use or inability to use the service.

To the extent permitted by applicable law, neither EIONIX nor its suppliers will be in any way liable for any damages of any kind and for any reason, special, incidental, or consequential, arising from or related to our site, our services, or these Terms of Service (whatever its origin, including negligence). You agree to indemnify and hold us and (where applicable) the controlling, controlled, and affiliated companies, partners of EIONIX, officers, directors, agents, employees, and suppliers harmless in relation to any claim or demand, including reasonable legal fees, made by third parties for the violation of these Terms of Service or the documents incorporated therein by reference or for the violation of any law or right of third parties.

You assume responsibility for the use of the services and the implementation of the information provided in the service. Services are provided "as is" and "as available" without any warranty or condition, expressed, implied, or arising from the law, regarding their actual operation. You agree to classify the service as an obligation of means and not of results. The result is linked to the quality, type, and continuity of your business/entrepreneurial activity and therefore related to personal factors such as your level of knowledge in the subject and ability to conduct business and marketing.

EIONIX is not responsible for the failure to achieve results for any reason.

EIONIX does not guarantee and therefore is not responsible for maintaining the achieved result for any reason.

EIONIX does not guarantee that the services will be uninterrupted, timely, secure, or error-free.

EIONIX does not guarantee that the results that can be obtained using the services will be accurate or reliable.

EIONIX does not guarantee that the quality of any product, service, information, or other material purchased or obtained through the services will meet your expectations or that any errors in the services will be corrected.

7. Intellectual Property Rights and Customer Content

All information provided is the exclusive property of EIONIX.

8. Payments, Renewals, and Refunds

One-shot Service:

You will pay the service subscription with a debit/credit card, along with any transaction costs applied by the chosen payment processor.

The marketplace operates like any online store and e-commerce platform. By entering the site, you will make a purchase of one or more products and services at the costs indicated in the showcase and based on the pricing displayed on the site, without establishing a subscription plan.

Refunds are not provided for the purchase of this service (please refer to the terms also applicable to the subscription plan).

Subscription Service:

You will pay the service subscription with a debit/credit card, along with any transaction costs applied by the chosen payment processor.

Subscription fees are paid in advance and will be charged at monthly intervals. Fixed transaction costs and any additional charges will be debited by EIONIX at its discretion.

Once purchased, the service can be terminated by midnight on the day of purchase. Termination must be done via email to the email address indicated in the "Contacts" section. Termination does not entitle you to a refund for the first purchased period based on the package, but only to non-activation for subsequent periods.

By purchasing, you agree to activate automatic payments.

The services provided are those listed and described on the website. The price of services includes taxes and any additional charges, excluding those related to payment processors.

The service begins within 24 hours of the payment being visible in EIONIX's bank account.

EIONIX provides an irrevocable digital and abstract service for the first purchased period (no refund is possible due to the automatic and immediate nature of the service). What you can do is terminate the service and the subscription from the renewal after the initial package purchase. From the moment of purchase, no refund is provided for any reason. In some cases, the provider may issue a refund at its discretion.

By purchasing, you agree not to receive any refund and to waive the so-called right of withdrawal under the regulations of Article 59, letter a, Legislative Decree no. 206/2005. EIONIX does not provide refunds.

9. Technical Specifications

EIONIX is in no way responsible for any damage, issues, or disruptions caused to individuals or activities utilizing the service.

10. Cancellation and Termination

You can cancel your subscription and terminate the Terms of Service at any time by contacting EIONIX support in the "Contacts" section by midnight on the day of purchase. Requests for resolution, termination, and cancellation through means of communication other than email are not effective and will not be considered.

In the event of termination of services for any reason, EIONIX will immediately cease to provide you with the services.

Termination must be communicated by midnight of the day following the purchase.

Following termination, there will be no entitlement to a refund for the activation period (for the first month when the service is activated, expenses incurred cannot be refunded despite early termination). Termination will only prevent the renewal of the subscription following activation.

No refund will be granted for the period preceding the first renewal or subsequent renewals if termination occurs after midnight on the renewal day.

The initial subscription period can be terminated, but it does not entitle you to a refund.

To avoid subscription expenses for subsequent renewals after activating the service, termination must be communicated by midnight on the day following each renewal, whether it is the first or subsequent renewals. The effect will be to interrupt the service, but not for the period for which the renewal has already been activated (so the payment related to the occurred renewal is not refundable but will be interrupted on the date of the next renewal, if this does not occur). Once the expense for the service is incurred, it is non-refundable. Termination will only prevent the renewal of the subscription and interrupt the service from the next renewal after the previous one. Therefore, if termination occurs after a renewal, the effect will be that the subsequent renewal will not occur, while the service will remain active and non-refundable for the period covered by the ongoing renewal.

Any balance owed to EIONIX for the use of services as of the effective date of termination will become immediately due and payable in full and automatically collected by EIONIX.

We reserve the right to modify or discontinue the service and the Terms of Service without notice and at any time. The termination of the Terms of Service does not affect rights and obligations arising before the termination date.

Without excluding other legal remedies, we at EIONIX may suspend or close the service if we suspect (due to conviction, liquidation, insurance or financial investigation, or other reasons) that you are involved in fraudulent activities related to the use of the service.

11. Changes to Services and Prices

Prices for the use of services are subject to change without notice by EIONIX. Variations will be visible at all times with the publication of changes on the EIONIX website.

EIONIX reserves the right to change or discontinue services (or any part thereof) at any time with or without notice.

EIONIX will not be liable to you or third parties for any changes, price variations, suspensions, or interruptions of the service.

12. Privacy and Data Protection

EIONIX is committed to scrupulously protecting the confidentiality of your personal data and any other data provided during registration. Please note and accept that the collection, use, and disclosure of such personal data by EIONIX are governed by our Privacy Policy, available in the appropriate link.
